1. Introduction
Welcome to Gist ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of the Gist application and services (collectively, the "Service"), which provides AI-powered smart summaries for Slack conversations.
By installing, accessing, or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not use our Service.
2. Description of Service
Gist is a Slack application that provides:
- AI-Powered Summaries: Automated generation of structured summaries from Slack conversations using artificial intelligence
- Live Summaries: Real-time, automatically updating summaries that refresh as new messages are posted to threads
- Action Items Extraction: Automatic identification and extraction of actionable tasks from discussions
- Scheduled Summaries: Automated recurring summaries with configurable timing
- Notion Integration: OAuth-enabled integration to save summaries directly to Notion databases
- Multi-Workspace Support: Enterprise-ready OAuth flows supporting multiple Slack workspaces
3. Eligibility and Account Requirements
3.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts in your jurisdiction to use our Service.
3.2 Slack Workspace Requirements
- You must have appropriate permissions in your Slack workspace to install applications
- For organizational accounts, you must have authorization from your organization to integrate third-party services
- You are responsible for ensuring compliance with your organization's policies regarding third-party integrations
3.3 Account Security
- You are responsible for maintaining the security of your Slack workspace and any connected integrations
- You must promptly notify us of any unauthorized use of your account or security breaches
4. Subscription Plans and Billing
4.1 Plan Types
We offer the following subscription plans:
- Limited Beta Free Trial: 14-day trial period during our beta with up to 5 users, 50 summaries, and 2 scheduled summaries
- Pro Plan: Supports up to 10 users with unlimited summaries and scheduled summaries
- Team Plan: Supports up to 250 users with unlimited summaries and scheduled summaries
- Enterprise Plan: Unlimited users, summaries, and features with custom pricing
4.2 Billing and Payments
- Subscription fees are charged in advance on a monthly or annual basis
- All payments are processed securely through Stripe
- Prices are subject to change with 30 days' advance notice
- All fees are non-refundable except as required by law
4.3 Trial Period
- New customers during the beta period receive a 14-day free trial
- Trial limitations apply as specified in your plan
- Your subscription will automatically convert to a paid plan unless cancelled before the trial expires
4.4 Automatic Renewal
- Subscriptions automatically renew for successive periods equal to the original subscription term
- You may cancel your subscription at any time through your account settings
- Cancellations take effect at the end of your current billing period
5. Acceptable Use
5.1 Permitted Use
You may use our Service only for lawful purposes and in accordance with these Terms. You agree to use the Service responsibly and professionally.
5.2 Prohibited Activities
You may not:
- Use the Service for any illegal, harmful, fraudulent, or unethical purposes
- Attempt to reverse engineer, decompile, or hack the Service
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Use the Service to transmit viruses, malware, or other harmful code
- Violate any applicable laws or regulations
- Infringe upon the intellectual property rights of others
- Use the Service to process or generate content that violates Slack's or Notion's terms of service
- Attempt to exceed usage limits through technical workarounds
5.3 Content Guidelines
- You are responsible for all content processed through our Service
- Content must comply with applicable laws and regulations
- You must have necessary rights and permissions for all content you submit for processing
6. Data Privacy and Security
6.1 Data Processing
- We process Slack message content solely to provide summarization services
- AI processing is performed using OpenAI's GPT models in accordance with their terms of service
- Our agreements with OpenAI prohibit them from training their models using your data
- We implement industry-standard security measures to protect your data
6.2 Data Storage
- Message content is processed transiently and not permanently stored unless required for service functionality
- User tokens and workspace information are encrypted and stored securely using Google Secret Manager
- We maintain comprehensive logs for security and operational purposes
6.3 Third-Party Integrations
- Our Service integrates with Slack, OpenAI, Notion, and Google Cloud Platform
- Your use of these integrations is subject to their respective privacy policies and terms of service
- We are not responsible for the privacy practices of third-party services
6.4 Data Retention
- We retain user data only as long as necessary to provide the Service
- You may request data deletion by contacting us at support@getthegist.app
- Some data may be retained for legal or security purposes as required by law
7. Intellectual Property
7.1 Service Ownership
The Service, including all content, features, and functionality, is owned by Gist and is protected by intellectual property laws.
7.2 User Content
- You retain ownership of your original content
- You grant us a limited license to process your content solely to provide the Service
- Generated summaries are considered derivative works based on your original content
7.3 AI-Generated Content
- Summaries and action items generated by our Service are provided "as-is"
- You are responsible for reviewing and validating all AI-generated content before use
- We do not guarantee the accuracy or completeness of AI-generated content
8. Disclaimers and Limitations of Liability
8.1 Service Availability
- We strive to maintain 99.9% uptime but do not guarantee uninterrupted service
- Scheduled maintenance and updates may temporarily affect service availability
- We are not liable for service interruptions caused by third-party providers
8.2 AI Accuracy
- Our AI-powered summaries are provided for informational purposes only
- We do not guarantee the accuracy, completeness, or reliability of AI-generated content
- You should always review and verify AI-generated summaries and action items
8.3 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, GIST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.
8.4 Maximum Liability
Our total liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Gist and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you submit for processing
10. Termination
10.1 Termination by You
You may terminate your account at any time by uninstalling the Slack application and canceling your subscription.
10.2 Termination by Us
We may suspend or terminate your access to the Service immediately if:
- You violate these Terms
- Your account becomes inactive for an extended period
- We are required to do so by law
- We cease operating the Service
10.3 Effect of Termination
Upon termination:
- Your access to the Service will cease immediately
- We will delete your data in accordance with our data retention policies
- You remain liable for all charges incurred prior to termination
11. Changes to Terms
We may modify these Terms at any time by posting updated Terms on our website. Changes will be effective 30 days after posting, except for changes required by law which may be effective immediately. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
12. Governing Law and Disputes
12.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Scotland, without regard to conflict of law principles.
12.2 Dispute Resolution
Any disputes arising out of or relating to these Terms or the Service shall be resolved through good faith negotiation or through the courts of Scotland.
12.3 Class Action Waiver
You agree that any legal proceeding shall be limited to the dispute between you and Gist individually. You waive any right to pursue claims on a class action basis.
13. General Provisions
13.1 Entire Agreement
These Terms constitute the entire agreement between you and Gist regarding the Service and supersede all prior agreements and understandings.
13.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
13.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
13.4 Assignment
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
13.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control.
