1. Introduction
Welcome to Gist ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of the Gist application and services (collectively, the "Service"), which provides AI-powered smart summaries for Slack conversations.
By installing, accessing, or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not use our Service.
2. Description of Service
Gist is a Slack application that provides:
- AI-Powered Summaries: Automated generation of structured summaries from Slack conversations using artificial intelligence
- Live Summaries: Real-time, automatically updating summaries that refresh as new messages are posted to threads
- Action Items Extraction: Automatic identification and extraction of actionable tasks from discussions
- Scheduled Summaries: Automated recurring summaries with configurable timing
- Notion Integration: OAuth-enabled integration to save summaries directly to Notion databases
- Multi-Workspace Support: Enterprise-ready OAuth flows supporting multiple Slack workspaces
3. Eligibility and Account Requirements
3.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts in your jurisdiction to use our Service.
3.2 Slack Workspace Requirements
- You must have appropriate permissions in your Slack workspace to install applications
- For organisational accounts, you must have authorisation from your organisation to integrate third-party services
- You are responsible for ensuring compliance with your organisation's policies regarding third-party integrations
3.3 Account Security
- You are responsible for maintaining the security of your Slack workspace and any connected integrations
- You must promptly notify us of any unauthorised use of your account or security breaches
4. Subscription Plans and Billing
4.1 Plan Types
IMPORTANT: There is NO free tier. A paid subscription is required for all access to the Service.
We offer the following subscription plans:

Pro Plan: £2.85 per user per month (1-10 users)
- Per-user monthly limit: 30 summaries/user
- Scheduled summaries: UNLIMITED
- API rate limit: 1,000 calls/month

Team Plan: £2.42 per user per month (11-250 users)
- Per-user monthly limit: 90 summaries/user
- Scheduled summaries: UNLIMITED
- API rate limit: 5,000 calls/month

Enterprise Plan: Custom pricing (50+ users)
- Unlimited summaries per user
- Scheduled summaries: UNLIMITED
- API rate limit: UNLIMITED
- Custom features and support
User Count: User count is determined by the quantity purchased through Stripe. Subscription limits are enforced based on this quantity.
4.2 Billing and Payments
- Subscription fees are charged in advance on a monthly or annual basis
- All payments are processed securely through Stripe
- Prices are subject to change with 30 days' advance notice
- All fees are non-refundable except as required by law
4.3 Automatic Renewal
- Subscriptions automatically renew for successive periods equal to the original subscription term
- You may cancel your subscription at any time through your account settings or by contacting support@getthegist.app
- Cancellations take effect at the end of your current billing period
4.4 Cancellation and Non-Payment
Subscription Cancellation:
- When you cancel your subscription, access to the Service continues until the end of your current billing period
- After cancellation, your workspace access will be restricted (max_users set to 0)
- Data retention follows the policies outlined in our Privacy Policy
Failed Payments:
- If payment fails, your account will be marked as "past due"
- We will attempt to process payment according to Stripe's retry schedule
- If payment cannot be collected, your subscription will be cancelled and access restricted
- You may reactivate your subscription by updating payment information and settling outstanding balances
Data After Cancellation:
- Workspace data is retained for 30 days after cancellation

5. Acceptable Use
5.1 Permitted Use
You may use our Service only for lawful purposes and in accordance with these Terms. You agree to use the Service responsibly and professionally.
5.2 Prohibited Activities
You may not:
- Use the Service for any illegal, harmful, fraudulent, or unethical purposes
- Attempt to reverse engineer, decompile, or hack the Service
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Use the Service to transmit viruses, malware, or other harmful code
- Violate any applicable laws or regulations
- Infringe upon the intellectual property rights of others
- Use the Service to process or generate content that violates Slack's or Notion's terms of service
- Attempt to exceed usage limits through technical workarounds
- Scrape, spider, or crawl the Service or use automated means to access the Service beyond normal usage
- Share, resell, or redistribute the Service to third parties
- Use the Service for competitive analysis or benchmarking without prior written consent
5.3 Content Guidelines
- You are responsible for all content processed through our Service
- Content must comply with applicable laws and regulations
- You must have necessary rights and permissions for all content you submit for processing
5.4 Usage Limits and Enforcement
Per-User Monthly Summary Quotas:
- Pro Plan: 30 summaries per user per month
- Team Plan: 90 summaries per user per month
- Enterprise Plan: Unlimited summaries per user
API Rate Limits:
- Pro Plan: 1,000 API calls per month
- Team Plan: 5,000 API calls per month
- Enterprise Plan: Unlimited API calls
Scheduled Summaries:
- All plans include UNLIMITED scheduled summaries
Enforcement:
- Usage limits are enforced automatically by our system
- If you exceed your plan's monthly summary quota, you will not be able to generate additional summaries until:
- Your monthly quota resets at the beginning of the next billing cycle, OR
- You upgrade to a higher plan
- Attempts to circumvent usage limits through technical means (multiple accounts, API abuse, etc.) will result in immediate suspension or termination
Consequences for Exceeding Limits:
- We will notify you when you approach your usage limits
- Once limits are reached, summary generation will be temporarily disabled
- No refunds will be provided for unused quota
- Repeated attempts to exceed limits may result in account termination
Fair Use Policy:
- Even on unlimited plans, we reserve the right to throttle or limit usage that we determine to be abusive or harmful to our Service
- Examples of abuse include: excessive API calls, automated scraping, denial-of-service attempts, or any usage that degrades service quality for other users
6. Data Privacy and Security
6.1 Data Processing
- We process Slack message content solely to provide summarisation services
- AI processing is performed using OpenAI's GPT models in accordance with their terms of service
- Our agreements with OpenAI prohibit them from training their models using your data
- We implement industry-standard security measures to protect your data
6.2 Data Storage
- Message content is processed transiently and not permanently stored
- Generated summaries are NOT retained after processing - they are delivered to you and immediately discarded
- User tokens and workspace information are encrypted and stored securely using Google Secret Manager
- We maintain comprehensive logs for security and operational purposes (logs do not contain message content or summaries)
6.3 Third-Party Terms and Compliance
Integration Requirements:
Your use of our Service requires compliance with the following third-party terms of service:
- Slack Terms of Service: You must comply with Slack's Acceptable Use Policy and Terms of Service at https://slack.com/terms-of-service
- OpenAI Terms: AI processing is subject to OpenAI's terms at https://openai.com/policies/terms-of-use
- Stripe Payment Terms: Payment processing is governed by Stripe's terms at https://stripe.com/legal
- Notion API Terms: If you use Notion integration, you must comply with Notion's API terms at https://www.notion.so/Terms-and-Privacy
Your Responsibilities:
- You are responsible for ensuring your use complies with all third-party service terms
- Violations of third-party terms may result in service suspension or termination
- We are not responsible for changes to third-party services or their terms
- We are not liable for the privacy practices or security of third-party services
Third-Party Service Changes:
- Third-party services may change their features, pricing, or terms without notice
- We will make reasonable efforts to adapt to third-party changes, but cannot guarantee uninterrupted compatibility
- Service disruptions caused by third-party changes are outside our control
6.5 Subprocessors
We use the following subprocessors to help provide the Service. Each subprocessor may process limited personal data as necessary to perform their services, subject to appropriate data protection agreements:
- Stripe: Payment processing and billing
- OpenAI: AI model processing for generating summaries and insights (GPT-4.1-mini)
- Google Cloud Platform: Infrastructure hosting (Cloud Run), storage, and secret management
- Supabase: Application database (PostgreSQL) and authentication services
- Slack: Workspace integration and message access/posting as authorised
- Notion: Optional integration to save summaries when authorised by the user
- Nodemailer/SMTP: Email delivery services for transactional emails and notifications
- Vercel: Application hosting and edge delivery
- GitHub: Source code management and CI/CD (operational metadata only)
- Firebase: Messaging, analytics, or ancillary application services
6.4 Data Retention
- We retain user data only as long as necessary to provide the Service
- You may request data deletion by contacting us at support@getthegist.app
- Some data may be retained for legal or security purposes as required by law
7. Intellectual Property
7.1 Service Ownership
The Service, including all software, content, features, functionality, trademarks, and service marks, is owned by GistAI Ltd. and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
7.2 Your Slack Messages (Original Content)
- You Retain Ownership: You retain all ownership rights to your original Slack messages and content
- Limited License to Us: By using the Service, you grant us a limited, non-exclusive, royalty-free licence to access, process, and analyse your Slack message content solely for the purpose of providing the Service
- Licence Scope: This licence allows us to:
- Read and process your Slack messages through Slack's APIs
- Send message content to OpenAI for AI processing
- Generate summaries based on your messages
- Deliver summaries back to you in Slack or save them to your authorised integrations (e.g., Notion)
- Licence Duration: This licence terminates when you delete your content or cancel your subscription
7.3 AI-Generated Summaries
- Derivative Works: AI-generated summaries are derivative works based on your original Slack messages
- Your Rights: You have a licence to use, modify, and distribute the AI-generated summaries created from your content
- Ownership Clarification: Whilst you own the underlying Slack messages, the specific expression of AI-generated summaries is created through our Service
- No Warranty: AI-generated summaries are provided "AS-IS" without any warranty of accuracy or completeness
- Your Responsibility: You are responsible for reviewing and validating all AI-generated content before use or reliance
8. Disclaimers and Limitations of Liability
8.1 Service Availability
- We strive to maintain 99.9% uptime but do not guarantee uninterrupted service
- Scheduled maintenance and updates may temporarily affect service availability
- We are not liable for service interruptions caused by third-party providers
8.2 AI-Generated Content Disclaimer
IMPORTANT NOTICE ABOUT AI-GENERATED SUMMARIES:
Summaries and action items are generated using artificial intelligence (OpenAI's GPT-4.1-mini model) and may contain:
- Inaccuracies: The AI may misinterpret context or generate incorrect information
- Omissions: Important details may be missed or excluded from summaries
- Errors: Technical or factual errors may appear in generated content
- Hallucinations: The AI may generate plausible-sounding but entirely fabricated information
Your Responsibilities:
- You MUST independently verify all important information in AI-generated summaries
- Always review the original Slack messages for critical decisions or actions
- Do not rely solely on AI summaries for compliance, legal, or safety-critical matters
- Use AI summaries as a convenience tool, not as authoritative records
Liability Limitation:
- We are NOT liable for decisions made based on AI-generated summaries
- We do NOT guarantee the accuracy, completeness, or reliability of AI-generated content
- AI summaries are provided "AS-IS" for informational purposes only
- You assume all risk for reliance on AI-generated content
8.3 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, GIST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.
8.4 Maximum Liability
Our total liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Gist and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you submit for processing
10. Termination
10.1 Termination by You
You may terminate your account at any time by uninstalling the Slack application and canceling your subscription.
10.2 Termination by Us
We may suspend or terminate your access to the Service immediately if:
- You violate these Terms
- Your account becomes inactive for an extended period
- We are required to do so by law
- We cease operating the Service
10.3 Effect of Termination
Upon termination:
- Your access to the Service will cease immediately
- We will delete your data in accordance with our data retention policies
- You remain liable for all charges incurred prior to termination
11. Changes to Terms
We may modify these Terms at any time by posting updated Terms on our website. Changes will be effective 30 days after posting, except for changes required by law which may be effective immediately. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
12. Governing Law and Disputes
12.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Scotland, without regard to conflict of law principles.
12.2 Dispute Resolution
Any disputes arising out of or relating to these Terms or the Service shall be resolved through good faith negotiation or through the courts of Scotland.
12.3 Class Action Waiver
You agree that any legal proceeding shall be limited to the dispute between you and Gist individually. You waive any right to pursue claims on a class action basis.
13. General Provisions
13.1 Entire Agreement
These Terms constitute the entire agreement between you and Gist regarding the Service and supersede all prior agreements and understandings.
13.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
13.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
13.4 Assignment
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
13.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control.
